These Terms of Service ("Terms") govern your access to and use of our websites (including www.2minutewarning.com and www.2mw.ai), extensions, and services (collectively, the "Services") provided by 2 Minute Warning LLC ("2 Minute Warning," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Services

We provide tools and services, including AI-powered analysis of user-submitted content (e.g., videos or files), to generate insights and data. Other related features may be available. The Services, including methods and delivery, may change at our discretion. We are not affiliated with or endorsed by any third-party platforms (e.g., video hosting sites), and any interactions with such platforms are user-initiated and at your own risk.

2. Eligibility and Accounts

You must create an account with accurate information. You are responsible for your account's security and all activities under it. You must meet any technical requirements for submissions; noncompliance may result in rejection or limited functionality.

You represent that you are of legal age in your jurisdiction or have authorization, and that your use complies with applicable laws.

3. User Content

You retain rights to content you submit or upload ("User Content"), but you grant us a worldwide, non-exclusive, royalty-free license to access, use, process, store, analyze, and modify it (including in anonymized or aggregated forms) solely as necessary to provide, maintain, and improve the Services, subject to our Privacy Policy.

You warrant that you have all rights and consents to submit User Content and that it does not infringe any third-party rights (e.g., intellectual property, privacy). You are responsible for any claims arising from your submissions.

4. Payments

We may offer free trials or paid, time-limited plans. Plans require upfront payment and expire automatically at the end of the specified term. Fees are non-refundable except as required by law. We may adjust plans, pricing, or offerings with notice (e.g., via email or website posting).

5. Ownership and Licenses

We own all rights to the Services, including software, AI models, and derived outputs (excluding your User Content). We do not claim ownership of your original User Content or any likenesses therein. We grant you a limited, revocable, non-transferable license to use the Services and any outputs for your personal or internal team purposes only (e.g., sharing with your coaches or staff). You may not distribute, share, or make outputs available to third parties (e.g., sharing with other teams or public posting) without our prior written approval.

6. Prohibited Conduct

You agree not to: (a) use the Services for unlawful, harmful, or unauthorized purposes; (b) submit malicious or infringing content; (c) interfere with the Services; (d) misuse outputs; or (e) violate these Terms or laws.

7. Termination

We may suspend or terminate your access at any time, with or without notice or cause. Upon termination or expiration, your rights end, and we may delete or retain data as per our Privacy Policy. Sections such as ownership, disclaimers, limitations of liability, and indemnity survive.

8. Disclaimers and Limitations of Liability

The Services are provided "as is" without warranties of any kind (e.g., accuracy, reliability, fitness), including no guarantees of availability, uptime, or uninterrupted access. AI and analysis outputs may contain errors or inaccuracies; you use them at your own risk.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or punitive damages. Our total liability is limited to the fees you paid us in the prior 12 months (or $100 if no fees paid).

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your User Content, use of the Services, or breach of these Terms.

9. Dispute Resolution

These Terms are governed by the laws of the State of Oregon, without regard to conflicts of laws principles. Any disputes arising from or related to these Terms or the Services will be resolved through binding arbitration in Oregon under the American Arbitration Association (AAA) rules (see https://www.adr.org/Rules for details), with no class actions or jury trials. If arbitration is unenforceable, exclusive jurisdiction lies in the state and federal courts of Oregon. The prevailing party may recover reasonable attorneys' fees.

10. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement. We may update these Terms at any time; changes will be posted with a new effective date, and your continued use constitutes acceptance. Please check periodically.

If any provision is held invalid, the remainder remains in effect. No waiver is effective unless in writing.
